Limited Liability Companies
This is what we form most often. We form these on a flat fee (plus state filing fees). Here is what is included in the flat fee:
Certificate of Formation. We draft the Certificate of Formation for filing with Washington’s Secretary of State.
Tax ID Number. Once the Certificate of Formation is filed, we obtain an employer identification number (EIN) with the Internal Revenue Service.
Initial Annual Report. At the same time, we prepare and file your Initial Annual Report with Washington’s Secretary of State
LLC Resolutions. We also draft your LLC resolutions and consents related to the formation of the LLC.
Operating Agreement. We draft the initial operating agreement for the LLC, which governs how the company operates and how the owners make decisions. One round of changes (based on your feedback) is included in the flat fee.
Entity Formalities. We also provide a list of entity formalities and guidelines for operating your new LLC.
S Election. We will also discussion your options from a tax perspective, and will file an S election on the LLC’s behalf if that’s the option that you choose (yes, it’s possible to make an S election for an LLC!).
Corporations (S Corps and
C Corps)
We also regularly form corporations. We form these on a flat fee (plus state filing fees). Here are the documents that are included in the flat fee:
Articles of Incorporation. We draft the Articles of Incorporation for filing with Washington’s Secretary of State.
Tax ID Number. Once the Articles of Incorporation are filed, we obtain an employer identification number (EIN) with the Internal Revenue Service.
Initial Annual Report. At the same time, we prepare and file your Initial Annual Report with Washington’s Secretary of State
Corporate Resolutions. We also draft your corporate resolutions and consents related to the formation of the corporation.
Bylaws. We draft the initial corporate bylaws, which govern how you make decisions on behalf of the corporation. Up to one round of changes (based on your feedback) is included in the flat fee.
Shareholders’ Agreement. We also draft a shareholders’ agreement (that is, an agreement between the various shareholders that addresses the ability to transfer shares), with up to one round of changes based on your feedback
Stock Register and Certificates. We also include a stock register and stock certificates (if you’d like to have them).
Entity Formalities. We also provide a list of entity formalities and guidelines for operating your new corporation.
S Election. We will also discussion your options from a tax perspective, and will file an S election if that is the option that you choose.
